1. Who you are contracting with

Quotealy ("Quotealy", "we", "us", or "our") is operated by Quotealy Inc.(the "Seller"). By creating an account or using the service at quotealy.com (the "Service"), you ("you" or "User") enter into a binding agreement with the Seller.

2. Acceptance

By accessing or continuing to use the Service you agree to these Terms. If you do not agree, do not use the Service. You confirm you are of legal age (or, if acting for a business, that you have authority to bind that business).

3. The Service

Quotealy is a software tool that helps independent contractors and small crews turn voice notes and job-site inputs into itemized quotes and invoices. We grant you a limited, non-exclusive, non-transferable right to use the Service within the limits of your selected plan.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam or send quotes/invoices to recipients who have not consented;
  • infringe anyone's intellectual property or privacy rights;
  • upload malware, attempt to probe, scan, or breach our security, or scrape the Service;
  • reverse engineer, resell, or redistribute the Service or circumvent its technical limits.

5. Your account and content

You are responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date. You retain ownership of the content you put into the Service (clients, line items, logos, etc.); you grant us a limited license to host and process that content solely to operate the Service for you.

6. Intellectual property

The Seller retains all rights, title, and interest in the Service, including its software, design, branding, and documentation. Nothing in these Terms transfers any IP rights to you other than the limited license to use the Service described above.

7. AI features and outputs

The Service uses AI models (including speech-to-text and language models) to generate draft quotes from your voice notes. You are responsible for your prompts and inputs, for verifying the accuracy of any generated content before sending it to clients, and for ensuring you have the rights to any input content. AI outputs may be inaccurate or incomplete; they are not a substitute for professional judgment. We may filter, refuse, or remove outputs and may suspend accounts that repeatedly produce prohibited content (illegal content, hate, malware, etc.).

8. Payments, subscriptions, and taxes

Paid plans are billed monthly until cancelled. Payments are processed by Stripe, Inc. on our behalf. Your card or bank statement may show LINK.COM* alongside our business name. Applicable sales tax, VAT, or GST is calculated and added at checkout where required. For buyers in supported countries, Stripe handles tax filing and remittance on the Seller's behalf; in other countries the Seller is responsible for those filings. See also our Refund Policy.

9. Service availability

We work to keep the Service running, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, change features, or temporarily suspend the Service.

10. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly violate our acceptable use rules. You may cancel your subscription at any time from the Billing screen in your account. On termination, you can export your data for a reasonable period before it is deleted.

11. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (fraud, death, or personal injury caused by negligence).

12. Indemnity

You will indemnify and hold the Seller harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes

We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date. Continued use after changes means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the Seller's place of residence, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction.

15. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for failure to perform due to events beyond their reasonable control.
